1. Who you are contracting with
Local Signal (the "Service") is provided by Bill Quell Consulting ("we", "us", "our"), trading as Local Signal. By creating an account or continuing to use the Service you enter into an agreement with Bill Quell Consulting on these terms. If you use the Service on behalf of a company or other organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age in your country.
2. What the Service does
Local Signal lets a brand's head office publish approved content, media and embeddable pages, and lets its local partners (franchisees, dealers, clinics, stockists and similar) use that content on their own websites and hosted pages. We provide the software, hosting for published pages and reporting on views and clicks.
3. Your account
- You must provide accurate account and billing information and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity that happens under your account, including activity by partner users you invite.
- Head office accounts control what partners may publish. If you invite partners, you are responsible for the content you make available to them.
4. Acceptable use
You must not use the Service:
- for any unlawful purpose, or in breach of any applicable law or regulation;
- to commit fraud, send spam or unsolicited marketing, or make misleading claims about a business;
- to upload or publish content that infringes anyone's intellectual property or privacy rights;
- to interfere with the security or integrity of the Service, including introducing malware, probing or scanning our systems, circumventing technical or plan limits, or scraping the Service or the pages it hosts;
- to resell, sublicense or redistribute the Service, or to reverse engineer any part of it.
5. Your content and licence
You keep ownership of the text, images, videos and other material you upload. You grant us a limited, worldwide, non-exclusive licence to host, store, reproduce, adapt for display and transmit that material for the sole purpose of operating the Service for you and your partners.
If you believe material published through the Service infringes your rights, contact us at support@localbrandscale.com with details of the material and your rights in it. We will review and, where appropriate, remove the material. Repeated or serious infringement will result in suspension or termination of the account responsible.
6. Our intellectual property
We retain all rights, title and interest in the Service, including its software, design, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with the plan you have selected. Nothing in these terms transfers ownership of our intellectual property to you.
7. Content moderation and accuracy
We may remove or restrict content, refuse to publish a page, or suspend an account where we reasonably believe these terms have been breached. Reporting figures such as views and clicks are provided for guidance and may be estimates; you should not rely on them as an audited measure.
8. Service levels
We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. Maintenance, third-party outages and factors outside our control may affect availability. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
9. Payment, subscription and refunds
Plans are billed monthly in advance based on the plan you select and the number of partner locations in your account. Prices are shown on our pricing page. Depending on your settings, either head office pays a single subscription for the brand, or each partner pays for their own location.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, currency, tax, invoicing, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Our own refund commitment is set out in our Refund Policy. You may cancel at any time; cancellation takes effect at the end of the billing period you have paid for.
10. Suspension and termination
We may suspend or terminate access to the Service where:
- you materially breach these terms and do not remedy the breach after notice;
- a subscription payment is not made, or a free trial ends without payment being set up;
- we identify a security, fraud or legal risk arising from the account;
- there are repeated or serious breaches of the acceptable use rules above.
When an account ends, published pages stop being served. You may export your content for 30 days after termination, after which we may delete it.
11. Liability
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the claim arose. We are not liable for indirect, consequential or special loss, including lost profits, lost revenue, lost data or loss of goodwill. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
You will indemnify us against claims, losses and reasonable costs arising from content you publish through the Service, your unlawful use of the Service, or your breach of these terms.
12. Changes to these terms
We may update these terms to reflect changes to the Service or the law. Where changes are material we will give reasonable notice by email or in the app. Continued use after the effective date means you accept the updated terms.
13. General
You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. These terms are governed by the laws of the State of California, United States, and the courts of that state have exclusive jurisdiction, except where mandatory local consumer law gives you other rights.
